INSTROPOINT INC. Sales Terms & Conditions
Acceptance of Terms
By submitting payment for this invoice, the purchaser acknowledges that they have read, understood, and agreed to these Terms & Conditions. These terms apply to all sales, repairs, and services provided by Instropoint Inc. unless otherwise agreed to in writing.
Package Includes
Your purchase includes only the items specifically listed on the invoice and/or shown in the accompanying photographs.
If an accessory, cable, manual, software, consumable, or other item is not specifically listed or shown, it is not included.
Please contact us before purchasing if you have any questions regarding what is included.
Equipment Condition
Unless otherwise stated in writing, equipment is sold in the condition described on the invoice and/or shown in the accompanying photographs.
Any testing performed by Instropoint Inc. will be specifically stated in writing. If no testing is noted, functionality beyond basic visual inspection or power-on should not be assumed.
Many medical and laboratory devices require preventive maintenance (PM), calibration, safety testing, recertification, and/or biomedical inspection before being placed into service.
The purchaser is solely responsible for ensuring that the equipment is properly inspected, calibrated, certified (if applicable), and safe for its intended use before use in research, laboratory, industrial, or patient care applications.
Unless expressly stated in writing, Instropoint Inc. does not represent or warrant that any equipment is patient-ready, clinically certified, calibrated, or approved for immediate clinical use.
Repair Services
When Instropoint Inc. performs repair services on customer-owned equipment, the repair is limited solely to the specific issues identified and agreed upon before service.
A completed repair does not constitute a full inspection, preventive maintenance (PM), calibration, recertification, electrical safety inspection, or clinical certification unless expressly stated in writing.
Following any repair, the customer is solely responsible for ensuring that the equipment is properly inspected, calibrated, preventive maintenance is performed, and all required testing and certifications are completed by qualified biomedical personnel before the equipment is placed back into service.
Instropoint Inc. makes no representation or warranty that repaired equipment is patient-ready or approved for clinical use unless expressly stated in writing.
The customer acknowledges that it is their responsibility to verify compliance with all manufacturer recommendations, regulatory requirements, and facility policies before returning the equipment to service.
Shipment
- Orders are shipped only after full payment has been received unless otherwise agreed in writing.
- Items are shipped from Instropoint Inc.’s warehouse.
- Local pickup is available for select items.
- Customers may provide their own shipping account or request that Instropoint Inc. arrange shipping.
- Shipping carriers are selected based on the shipment unless otherwise agreed.
- Risk of loss and ownership transfer to the purchaser once the shipment has been released to the carrier or picked up by the purchaser or the purchaser’s designated freight carrier.
- Shipping dates are estimates and are not guaranteed.
Payment Terms
Payment is due according to the invoice.
Virginia sales tax will be collected where required by law unless a valid resale or tax exemption certificate is provided before payment.
Returns & Refunds
Unless otherwise agreed to in writing:
- Any return must receive prior written authorization from Instropoint Inc.
- Items protected by a security or tamper-evident seal must be returned with the seal fully intact.
- If the security or warranty seal has been removed, broken, altered, tampered with, or damaged, the item is not eligible for return, refund, or warranty consideration unless prior written authorization has been provided by Instropoint Inc.
- Returns requested for reasons other than the equipment not conforming to the agreed description may be subject to:
- a 20% restocking fee, and
- all original shipping and handling charges.
- Shipping and handling charges are non-refundable.
- Returned equipment must be received in the same condition in which it was originally shipped.
Warranty
Unless otherwise stated in writing, equipment is sold AS IS, with no express or implied warranties, including but not limited to warranties of merchantability or fitness for a particular purpose.
If a written warranty is specifically provided on the invoice, quotation, or sales agreement, that written warranty shall govern and supersede this section.
Warranty Seal Policy
Where a warranty or tamper-evident security seal has been applied by Instropoint Inc., the seal must remain intact for the duration of the warranty period.
If the warranty seal is removed, broken, altered, tampered with, replaced, or otherwise damaged for any reason, all warranty coverage is immediately null and void.
This policy applies regardless of whether the equipment was opened by the purchaser or any third party unless prior written authorization has been provided by Instropoint Inc.
Instropoint Inc. records the identification of warranty seals prior to shipment. Any evidence of unauthorized repair, modification, tampering, or replacement of the warranty seal may result in denial of warranty coverage.
Medical Device Notice
The sale of certain medical devices may be subject to regulation by the U.S. Food and Drug Administration (FDA) and applicable federal, state, and local regulations.
Where applicable, Instropoint Inc. reserves the right to verify that the purchaser is authorized to acquire regulated equipment before shipment.
For questions regarding regulatory requirements, purchasers should consult the FDA’s Center for Devices and Radiological Health (CDRH).
Limitation of Liability
The purchaser acknowledges that used medical and laboratory equipment should be inspected by qualified personnel before use.
If equipment will be used for patient care, diagnosis, or any clinical application, the purchaser is solely responsible for ensuring that the equipment has been properly inspected, calibrated, serviced, preventive maintenance has been completed, and all required certifications have been performed by qualified biomedical personnel before the equipment is placed into service.
Instropoint Inc. shall not be responsible for any injury, loss, damage, or liability arising from the installation, operation, maintenance, transportation, repair, misuse, modification, improper storage, or use of the equipment after it has been delivered to or returned to the purchaser.
To the fullest extent permitted by law, Instropoint Inc.’s liability arising out of the sale, repair, or servicing of equipment shall not exceed the original purchase price or repair charges paid by the purchaser.
These Terms & Conditions constitute the entire agreement between the parties unless modified by a written agreement signed by both Instropoint Inc. and the purchaser. No verbal statements or representations shall modify these Terms & Conditions.
